# Terms of Service

#### 1. Purpose

These Terms of Service (“Terms”) are intended to define the rights, obligations, and responsibilities between NISoft Co., Ltd. (the “Company”) and users (the “Members”) regarding the use of the website and mobile application of Music on the Block (the “Service”).

#### 2. Definitions

The key terms used in these Terms are defined as follows:

1. Service\
   Refers to all functions provided by the Company through the web (Web) and mobile (App) platforms of Music on the Block, including AI music generation, AI evaluation, NFT minting and trading, GET Race participation, point accrual, and rewards.
2. Member\
   Refers to a person who agrees to these Terms and uses the Service by creating an account through one of the login methods provided by the Company (Google, Apple, Discord, or blockchain wallet).
3. Account\
   Refers to a unique set of information for identifying a Member and accessing the Service, and a single account can be used seamlessly on both the web and the app without additional linking.
4. MIC Points\
   Refers to activity-based points automatically accumulated according to activities on the platform (such as song creation, listening, or referrals). Accumulated MIC Points may be used to access AI features, mint NFTs, convert to tokens (MOB, POL, USDT, or USDC), or participate in events according to the Company’s policies.
5. GET Race\
   Refers to a competitive event organized by the Company for a designated period, where participants burn MIC Points and receive rewards based on their proportion of the total MIC burned.
6. Referral Rewards\
   Refers to a reward system under which additional MIC Points are granted to Members according to the activities of users who joined through the Member’s referral code.
7. NFT (Non-Fungible Token)\
   Refers to a unique blockchain-based digital asset representing the music created by a Member, which can be minted and traded on the platform.
8. Account Deletion\
   Refers to the termination of Service use and deletion of the Member’s account, which can be processed only through the in-app settings menu.

#### 3. Effect and Amendment of the Terms

1. These Terms apply to all users who intend to use the Service.
2. The Company may amend these Terms if necessary for compliance with applicable laws or for Service operations, and any amendments will be announced in advance.
3. The amended Terms shall take effect upon announcement. Members who do not agree to the amended Terms may discontinue use of the Service and delete their accounts.

#### 4. Membership and Account Management

1. Membership registration is conducted through authentication via Google, Apple, Discord, or a blockchain wallet.
2. A single account allows Members to use both the web and the app without additional linking.
3. Members must provide accurate personal information, and any liability arising from false or fraudulent information shall rest solely with the Member.
4. Each Member may create only one account, and account transfer, sharing, or sale is prohibited.
5. Account deletion may only be performed through the in-app settings. Upon deletion, all Points, NFTs, and activity records will be permanently removed and cannot be restored.

#### 5. Types of Services

#### 6. MIC Points and Reward Policy

1. Definition\
   MIC (Music Incentive Credit) is an activity-based reward point automatically accumulated through Member activities (creation, listening, referrals, etc.).\
   These points encourage platform engagement and can be converted through GET into MOB, POL, USDT, or USDC tokens, providing tangible value within the ecosystem.
2. Earning MIC Points\
   MIC Points are earned through the following activities:

* Generate to Earn: When a Member’s created song is listened to by another Member.
* Listen to Earn: When a Member listens to a song created by another user.
* Referral Rewards: When users who registered via a referral code participate in platform activities.

3. Use of MIC Points\
   Accumulated MIC Points may be used for:

* Accessing AI music generation and other features within the platform.
* Paying NFT minting fees.
* Converting through GET into MOB, POL, USDT, or USDC tokens.

4. Restrictions\
   MIC Points cannot be exchanged for cash. Conversion rates, conditions, and fees are determined by Company policy. The criteria for MIC accrual, daily limits, and reward ratios are subject to the Company’s “MIC Operation Policy” and official announcements. If fraudulent accrual or system manipulation is detected, the Company may revoke Points and suspend or delete the related account.

#### 7. GET Race Operation Policy

1. The GET Race is operated by the Company in accordance with designated schedules and conditions.
2. Members may participate by burning MIC Points.
3. Reward criteria, participation procedures, and distribution methods shall follow the Company’s “GET Race Policy.”
4. In cases of fraudulent participation, automated burning, or system abuse, the Company may restrict participation or revoke rewards.

#### 8. NFT Transactions and Wallet Use

1. Members may mint, sell, and purchase NFTs through interfaces provided by the Company.
2. NFT transactions are governed by the policies and fee structures of the Polygon blockchain network, and the Company is not responsible for delays, gas fee fluctuations, or external network issues.
3. All legal responsibilities, including copyright and ownership, for minted or traded NFTs rest with the Member who registered the content.
4. Users are responsible for securely managing their blockchain wallet addresses, and the Company shall not be liable for any loss resulting from loss or hacking, to the extent permitted by applicable laws.

#### 9. Member Obligations

1. Members shall not engage in any of the following acts:

* Impersonating or misusing another Member’s account.
* Engaging in abnormal activities using automated programs or bots.
* Fraudulently accruing MIC Points or trading NFTs.
* Infringing on the copyrights, trademarks, or other intellectual property rights of others.
* Interfering with or manipulating the Service or its systems without authorization.

2. Members are responsible for maintaining the security of their accounts and wallets and must promptly notify the Company of any security incidents.

#### 10. Content Ownership and Responsibility

**Service Content :** You acknowledge and agree that the Service may contain content or features ("Service Content") that are protected by copyright, patent, trademark, trade secret, or other proprietary rights and laws. Except as expressly authorized by Music on the Block or otherwise under these Terms of Service, you agree not to modify, copy, frame, scrape, rent, lease, loan, sell, distribute, or create derivative works based on the Service or the Service Content, in whole or in part, except that the foregoing does not apply to Content that you upload to or make available through the Service in accordance with these Terms of Service. Any use of the Service or the Service Content other than as specifically authorized herein is strictly prohibited.

**Third-Party Material:** Under no circumstances will Music on the Block be liable in any way for any content or materials of any third parties (including users), including for any errors or omissions in any content, or for any loss or damage of any kind incurred as a result of the use of any such content. You acknowledge that Music on the Block does not pre-screen content, but that Music on the Block and its designees will have the right (but not the obligation) in their sole discretion to refuse or remove any content that is available via the Service. Without limiting the foregoing, Music on the Block and its designees will have the right to remove any content that violates these Terms of Service or is deemed by Music on the Block, in its sole discretion, to be otherwise objectionable. You agree that you must evaluate, and bear all risks associated with, the use of any content, including any reliance on the accuracy, completeness, or usefulness of such content.

Subject to your compliance with these Terms of Service, Music on the Block assigns to you all rights, title, and interest in and to any and all outputs generated from the content you submit through the Service during your use of the Service. Information relating to such outputs may be recorded on-chain through the minting process provided by Music on the Block, and such records may serve as a technical means of verification. However, Music on the Block makes no representations or warranties regarding the ownership or legal effect of such outputs.

1. Content Rights

All rights to the music, images, text, and other content that members create or upload through the Service (“Content”) remain with the member.\
The Company does not claim ownership of any Content created or uploaded by members.

2. License to Use Content

By using the Service, the member grants the Company a license to store, analyze, display, and otherwise use the Content for purposes related to operating the Service, providing features, improving service quality, enhancing AI models, and conducting promotions or events.\
The Company will not use member Content for purposes beyond those stated above.

3. Prohibition of Third-Party Rights Infringement

Members must ensure that their Content does not infringe the copyrights, portrait rights, trademarks, or any other rights of third parties.\
Any legal responsibility arising from such infringement rests solely with the member.

4. Actions in Case of Rights Infringement

If the Company receives a notice of rights infringement or identifies a violation of these Terms or related policies, the Company may restrict, hide, or delete the Content without prior notice.

5. Notice Regarding AI-Generated Output

Due to the nature of artificial intelligence, similar or identical outputs may be generated for different users who provide similar inputs, and such outputs may not constitute exclusive rights of any individual member.\
Song ratings, rewards, and NFT issuance within the Service are internal operational criteria and are separate from any legal determination of copyright.

#### 11. Modification and Suspension of Service

1. The Company may modify or suspend all or part of the Service when necessary for operational or technical reasons.
2. Temporary suspensions may occur for maintenance, security inspections, or updates, and will be announced in advance where possible.
3. In urgent circumstances, post-notification may substitute prior notice.

#### 12.  Disclaimer and Limitation of Liability

1. The Company shall not be liable for damages arising from force majeure events such as natural disasters, communication failures, or external network issues.
2. The Company shall not be responsible for damages caused by Member negligence, configuration errors, or device malfunctions.
3. The Company does not intervene in transactions or disputes between users or between users and third parties, and shall not be liable to the extent permitted by applicable laws.
4. The Company is not liable for any loss of expected profits or damages arising from the use of the Service.

#### 13. International Service and Jurisdiction

1. This Service is available to users worldwide, including those in Korea.
2. Any disputes between the Company and Members shall be governed by the laws of Korea. The courts located in Korea shall have exclusive jurisdiction over such disputes.<br>

#### 14. Payment and Refund Policy

1. Due to the nature of digital contents, all paid services (including but not limited to the purchase of MIC Points and AI generation passes) and NFT transactions provided within the Service are, in principle, non-refundable and cannot be canceled after the payment is processed.
2. Members shall not be entitled to request a refund or cancellation of payment for any of the following reasons:
   * MIC Points or paid items that have already been used or applied to the Service.
   * Cases where the AI-generated music output does not meet the Member's subjective expectations.
   * NFT minting and transactions (including Gas Fees) already completed on the blockchain network (Polygon).
   * Payments or transactions made due to a change of mind or the Member's own negligence.
3. In the event that the Company determines that normal use of the Service is impossible due to a major defect in the Service, exceptional compensatory measures may be provided. Such measures shall be governed by relevant laws and the Company's separate compensation policy.
4. Any losses resulting from the fluctuation in the value of assets based on blockchain technology (NFTs, tokens, etc.) are not subject to refund or compensation.

#### 15. Matters Not Specified

Any matters not specified in these Terms shall be governed by applicable laws, the Company’s Privacy Policy, official notices, and operational policies.
